DSGS Program Terms

GoodLeap LLC (“GoodLeap”) is an approved Virtual Power Plant (“VPP”) Aggregator under the California Energy Commission (“CEC”) Demand Side Grid Support (“DSGS”) program. As an Aggregator, GoodLeap has set up a program (“Program”) for eligible participants with one or more home batteries (each, a “Battery”) that GoodLeap will control to discharge electricity to the power grid during demand response events (each, an “Event”) notified by the CEC. Your participation is subject to your agreement to be bound by the terms and conditions set forth in this Agreement with GoodLeap (“Terms”).

Enrollment in the GoodLeap VPP Program is entirely voluntary. Enrollment in the Program and any compensation you may receive from GoodLeap for your participation is separate and apart from any financing agreement you may have with GoodLeap. Enrollment in the Program is not required to finance your purchase of a battery with GoodLeap.

Customers of GoodLeap Lease or Power Purchase Agreement products are not currently eligible to participate in this voluntary VPP Program.

Grant of Control Over Your Battery and Authority to Discharge Electricity

By accepting these Terms, you consent and grant to GoodLeap unconditional remote access to control the enrolled Battery to automatically charge and/or discharge the Battery, during an Event. GoodLeap will attempt to notify you of an upcoming Event 24 hours prior or as soon as practically possible so that you may ensure that the Battery is fully charged for dispatch in the Event. This notification is a courtesy by GoodLeap and is not required for GoodLeap to discharge your Battery in an Event. You may not withdraw or modify your consent for a single Event without withdrawing from the Program.

Term

This Agreement will commence upon the date that You accept these terms and conditions and will continue for 1 year (the “Term”). Thereafter, the Term shall automatically be extended for additional renewal terms of one (1) year each, each anniversary thereof, until either you or GoodLeap terminates this Agreement. Either party may terminate this Agreement before May 1 of each consecutive year by notifying the other in writing. Participant may notify GoodLeap of intent to not renew by emailing to VPPadmin@GoodLeap.com before May 1. The Enrollment Incentive described in these Terms is available only during your first year of enrollment in the Program.

Program Events

Events will be called by the CEC and GoodLeap shall make its best efforts to notify you via text & E-mail twenty four (“24”) hours before the Battery discharge to the grid using the contact information for your GoodLeap financing account. GoodLeap will control the Battery to respond during Events.

Incentives

For 2024, you must enroll and receive GoodLeap confirmation of enrollment by July 31, 2024 and remain enrolled through October 31, 2024, in order to be eligible to receive a one-time participation incentive payment of $100.

Additionally, GoodLeap in its sole discretion may issue a further payment of up to $250 (“Performance Incentive”) as annual compensation for your participation in the Program through your Battery discharge in grid events. GoodLeap reserves the right to report all payments as income where required by law. Any tax implications including consulting with a personal tax advisor are your responsibility.

Participant Battery Data and Other Information

You understand and agree that GoodLeap may access and retain certain types of your personal identifiable information and energy use data, including, but not limited to, your name, address, energy usage, utility account number, Battery information, data generated from the Program and other personal information, collectively referred to as Confidential Information. You authorize GoodLeap, and their respective employees and representatives, to use and retain the Confidential Information to administer the Program including sharing it with the CEC to verify performance, and in accordance with the GoodLeap Privacy Policy https://goodleap.com/privacy/, as applicable. (Even though this policy is a separate document from these Terms, it is considered part of these Terms). You further authorize GoodLeap to provide your Confidential Information to regulatory agencies upon their valid, legal request or as otherwise required by law. You also authorize GoodLeap to use or share Confidential Information that is anonymized without further need for your consent provided that it does not contain any of your personal identifiable information.

Enrollment In Other VPP Programs

You understand and agree that while you are enrolled in the GoodLeap VPP Program you may not enroll or participate in any other VPP programs including but not limited to 1) the Emergency Load Reduction (ELRP) Program, 2) the Base Interruptible Program, or 3) any other CAISO, utility, CCA, or state program that compensates you for the same reduction in use of electricity, including energy export. If you are enrolled in other programs, you understand that you must unenroll from those programs and provide proof of your unenrollment to GoodLeap before you may be eligible for any Incentive described in these Terms.

No Warranty; Disclaimer

GoodLeap expressly disclaims all warranties of any kind relating to this Program, whether express, implied or statutory including but not limited to any implied warranties for conditions, merchantability, fitness for a particular purpose, title, non-infringement or misappropriation of intellectual property rights.

Limitation of Liability

In no event will GoodLeap be liable for any direct, indirect, incidental, special or consequential damages arising in connection with the Program, including but not limited to: Your Battery's reduced charge during a power outage causing a loss of power or any other loss of power, software or hardware errors or malfunctions related to GoodLeap interfacing with your Battery, or any damages to your Battery or Property resulting from GoodLeap controlling your Battery. If you are dissatisfied with the Program, any of these Terms, or believe GoodLeap has breached these Terms, your sole and exclusive remedy is to discontinue participation in the Program in which case you will not be eligible for any Incentive.

Termination

Either you or GoodLeap may choose to terminate Your participation in this voluntary Program, at any time and for any reason. If GoodLeap elects to terminate your participation in the Program, GoodLeap will provide You written notice to the email address You maintain with GoodLeap. If you elect to terminate your enrollment in the Program, you may do so by contacting VPPadmin@GoodLeap.com. In either case, termination will be effective within a reasonable period of time allowing for GoodLeap to process termination. Until your termination is confirmed by GoodLeap your battery may still be discharged during an Event as described in this Agreement.
